Setting up a company

PROCEDURES

  1. Verification of the company name immediately upon submission of the application or
    before filing ;
  2. Paying up share capital in an approved bank or institution
    of its choice;
  3. Correct completion of the Single Form, which incorporates data from all the departments involved
    in the business creation process (National Economy, INSS, INPP, Ministry of the Environment, DGI, Commune).

TIME AND COST

DEADLINE  Three working days (maximum) from submission of the application, including proof of payment of the administrative fee.

COST : 80 USD if the articles of association are to be notarised, or USD 70 if the articles of association are signed privately (to this cost, however, you must add 40 $ levied on behalf of the municipality to obtain authorisation to open a business, even though this procedure is carried out after the business has been set up) USD 40 for Establishments.

SERVICES INVOLVED IN THE GUCE :

  1. The Notary's Office,
  2. The Registry of the Trade and Personal Property Credit Register,
  3. The Directorate of Taxes (DGI),
  4. An Ordering Centre of the General Directorate of Administrative, State, Judicial and Shareholding Revenue (DGRAD),
  5. Administration of the National Economy,
  6. The National Social Security Institute,
  7. The Environmental Administration,
  8. The National Employment Office,
  9. The National Institute for Professional Preparation (INPP),
  10. General Labour Inspectorate ;
  11. Representation of local authorities

MINIMUM CAPITAL :

  1. The minimum share capital requirement for setting up a limited liability company has been abolished, leaving the partners free to choose the type of business they wish to pursue;
  2. Freedom to set the minimum capital of the limited liability company as you wish

REFORMS

  1. Computerise and network all the services involved in the business start-up process and represented at the GUCE;
  2. Introduce a system for electronically tracking business start-up applications online ;
  3. Reduce the lead time from 3 to 2 working days;
  4. Reduce the cost of setting up a business from USD 120 to USD 80 or from USD 110 to USD 70.
